Skokie-based Mark Controls said the family's proposals are being made through a British Virgin Islands company called Eucalyptus Investments Ltd., which owns 9.2 percent of the company's common stock. On Oct. 1, Eucalyptus announced that it would solicit consents for its proposals from shareholders. In a meeting late Thursday, the board opposed the Eucalyptus proposals, saying that "Eucalyptus appears to have a serious conflict of interest," because the investor group or one of its units might bid to Check Valves acquire Mark Controls or some of its businesses.
